Meta outlines US$95B AI financing; shares fall 1.88%

Meta launched approximately US$35 billion in offerings and outlined a possible US$60 billion program. The cash-flow details, delayed IV snapshot and October 28 catalysts matter more than the headline total.

Meta's next AI headline is about paying for the buildout, not a new earnings release. On October 26, the company launched roughly US$35 billion of equity offerings and outlined a possible US$60 billion share-sale program. Together, that is an approximately US$95 billion financing plan—not US$95 billion already collected. META closed at US$630.56, down US$12.06, or 1.88%, from Friday's US$642.62 close. 1 3

What happened: a financing plan in two stages

Yahoo Finance's October 26 daily bar records 30,797,210 shares traded and a US$627.82–647.69 session range. These are completed regular-session figures, not an after-hours quote or a live trading signal. Volume counts differ across vendors; the count here is Yahoo's daily-series figure. The financing announcement and the decline occurred on the same day, but the price record alone cannot prove how much of the move came from financing concerns. 3

The immediate offerings comprise approximately US$22.5 billion of Class A common stock connected with forward-sale agreements and US$12.5 billion of depositary shares representing mandatory-convertible preferred stock. The second stage would be an approximately US$60 billion at-the-market program, allowing sales over time. Meta says that program is not expected to begin until the first quarter of 2027, after its new Class C stock starts trading. No ATM agreement has been signed, and its timing, size and terms remain undetermined. 1

There is another important cash-flow distinction: Meta does not expect to receive proceeds initially from the Class A shares sold by the forward purchasers. Cash would come with future settlement of those agreements. Treating the entire headline amount as today's cash balance would therefore be wrong. The preferred stock's dividend rate and conversion terms are also to be determined at pricing; a final share-dilution percentage cannot responsibly be read straight off the US$95 billion headline. 1

Why the funding matters despite strong sales

The operating business is growing. In results released October 21 for the quarter ended September 30, Meta reported revenue of US$64.601 billion, up 26% year over year. Ad impressions increased 10% and the average price per ad rose 14%. Fourth-quarter revenue guidance was US$73–76 billion. Those figures describe an expanding advertising engine, not proof that every new AI investment will earn an attractive return. 2

Spending is the other half of the story. Third-quarter operating cash flow was US$32.786 billion, while property-and-equipment purchases plus finance-lease principal payments totaled US$34.906 billion. That left negative US$2.120 billion of free cash flow under Meta's non-GAAP definition. Its 2026 capital-spending outlook, including those lease payments, is US$135–145 billion. September-end cash, cash equivalents and marketable securities were US$82.45 billion. Strong sales and a substantial liquidity pool can coexist with a need to finance a much larger investment program. 1 2

Headline profit also needs context. GAAP diluted earnings were US$3.83 a share; Meta said they would have been US$7.40 excluding the US$9.89 billion litigation charge associated with its state-attorney-general agreement. That is the company's stated adjustment, not another earnings release today. Keeping the legal charge separate from infrastructure cash spending avoids mixing different pressures on the business. 2

Sector context: customers and suppliers do not face the same trade-off

Nvidia, AMD and Broadcom indicated non-binding interest in buying up to an aggregate US$5 billion of the Class A offering. They may ultimately buy more, fewer or no shares: this is not committed funding. Nvidia closed October 26 at US$216.00, up 2.39% from US$210.96 on Friday, contrasting with Meta's decline. The useful distinction is between demand for AI infrastructure and the cost of financing it. These daily moves do not establish that one announcement caused either stock's entire return. 1 4

The wheel angle: volatility is payment for risk

OptionCharts' October 26 overview, retrieved at 7:10 p.m. ET, showed 30-day implied volatility of 38.83% and IV rank of 45.44%. The site labels options data as 15-minute delayed. These are dated overview statistics, not synchronized executable contract quotes; check live prices before trading. IV rank is not a probability of profit. Meta's own earnings release already happened on October 21, but that does not remove financing headlines, peer earnings or macroeconomic risk. 2 9

For education only, compare a hypothetical US$600 put and US$650 covered call expiring October 30. Relative to the US$630.56 close, those strikes sit 4.85% below and 3.08% above the stock. A standard 100-share cash-secured put at US$600 requires US$60,000 for the full strike payment if assigned, before costs. A covered call requires the matching shares and limits upside at its strike in exchange for premium. No premium, delta or expected return is quoted here; these are illustrations, not screened trade recommendations. 3 9 10 11

The wheel cannot turn dilution or a falling stock into a guaranteed income stream. A put seller can be assigned shares worth less than the strike, while the premium only partly cushions the loss. A covered-call seller retains substantial stock downside and can surrender a rebound above the call strike. Higher premiums are compensation for uncertainty, not evidence that the underlying shares are cheap. 10 11

What to watch next: October 28 and October 30

The Federal Reserve meets October 27–28, with the decision day on October 28. Its September 16 statement raised the federal-funds target range by a quarter percentage point to 3.75–4.00%; that is the last decision checked for this article, not a forecast of Wednesday's outcome. Rates matter when investors compare long-lived AI projects with the cost of funding them. 5 6

Also on October 28, Alphabet holds its earnings call at 4:30 p.m. ET, and Microsoft releases results after the close, with its call at 5:30 p.m. ET. Their spending commentary may provide context, not a promise about Meta's next move. October 30 is the expiry used in the educational examples and includes those intervening events. For Meta itself, watch the actual offering pricing and final terms; no fixed pricing date is established in the launch release. 1 7 8 9

The takeaway: separate funding capacity from cash received, and a growing advertising business from the eventual return on new infrastructure. For option sellers, the question is not simply how much premium is available, but what obligations remain if the financing story changes while the contract is open.
