Morning movers: ATAI jumps 58% on an unconfirmed Lilly report

ATAI jumped 58% on an unconfirmed takeover report, while ASTS fell 10% after pricing $1 billion of convertible notes. TSM and UAL also slipped despite strong quarterly numbers, leaving four different event risks to re-check at the open.

ATAI: a 58% gap built on an unconfirmed report

AtaiBeckley traded at $8.46, up 57.84%, on about 3.95 million pre-market shares. Reuters reported that Bloomberg said Eli Lilly was in talks to acquire AtaiBeckley and that a deal could be announced as soon as this week. Reuters also said neither company was immediately available for comment. No July 15–16 acquisition filing appeared in either company’s SEC submissions feed by the quote cut. That makes the report a catalyst, not a completed transaction.

No buyer, price or signed agreement has been confirmed by ATAI or Lilly. A denial, delay or different set of terms could reverse part of the gap. Options do not trade pre-market, and an opening chain after a 58% move can reprice abruptly; no stale closing spread is an executable quote.

ASTS: $1 billion of capital meets dilution concerns

AST SpaceMobile traded at $59.69, down 9.98%, on about 761,000 pre-market shares after pricing $1.0 billion of 1.625% convertible senior notes due 2034. The initial conversion price is about $79.57. ASTS also entered capped-call transactions with an initial cap of $149.20 and expects about $983.6 million of net proceeds, including $96.9 million for those capped calls.

Capped calls reduce; they do not erase

The hedge can reduce potential dilution only up to its cap. It does not remove the debt, the future conversion risk or the execution risk attached to using the remaining cash for growth and additional access to orbit.

Reference levels are the $57.94 pre-market low, $60.74 pre-market high and $66.31 prior close. The notes are expected to settle on July 20, 2026. ASTS is on the live YieldCove watchlist, making the financing a natural 9:45 tip-slot research candidate—not a trade instruction.

TSM: record numbers, negative ADR reaction

TSMC reported second-quarter revenue of NT$1,270.38 billion, net income of NT$706.56 billion and diluted EPS of NT$27.25, equal to US$4.31 per ADR. Revenue grew 36.0% year over year; net income and diluted EPS rose 77.4%. Management guided third-quarter revenue to US$44.6–$45.8 billion and gross margin to 65%–67%.

The earnings event has passed, but the opening gap remains. Post-event implied volatility often compresses while the stock is still finding a price; options do not trade pre-market, so the opening chain must be observed before any premium comparison is meaningful.

The ADR’s negative response does not negate the quarter; it shows that expectations and positioning also matter. Watch whether $397.12, the pre-market low, holds after 9:30 a.m. ET; $419.48 is the prior-close reference.

UAL: better guidance, but a much larger fuel bill

United Airlines reported $17.7 billion of Q2 revenue, up 16.0%, with diluted EPS of $2.46 and adjusted diluted EPS of $1.99. It raised full-year adjusted EPS guidance to $9.00–$11.00. The counterweight is fuel: United now expects nearly $6 billion of added 2026 fuel expense versus its start-of-year assumption, and Q2 fuel expense rose 84.1% year over year.

The call keeps the event open

United’s conference call begins at 10:30 a.m. ET. The key uncertainty is how much of the fuel increase fares can recover and how quickly. Closing option volatility is not a live opening quote while that discussion is pending.

The early range was narrow at $118.00–$118.82 on about 9,394 shares, so the gap deserves a fresh check at the open. The prior close is $120.97.
